Job Description
We are seeking an experienced, highly independent legal professional to join the Office of the General Counsel as an Associate General Counsel. This individual will provide strategic legal support for supply chain and E-commerce operations, negotiate key commercial agreements, advise on regulatory and operational matters, and help mitigate legal and commercial risk. The role will also oversee commercial disputes and litigation, manage outside counsel, and support efficient resolution of related matters.
This position partners closely with business leaders to support transformational initiatives, ensure legal documentation reflects current best practices, and strengthen collaboration across supply chain, retail, and digital commerce functions.
Responsibilities include:
- Leading and independently negotiating, drafting, and managing complex commercial agreements related to supply chain operations, including vendor, supplier, logistics, shipping, distribution, payment processing, and retail/E-commerce matters.
- Advising on operational, compliance, and regulatory issues impacting supply chain and supplier relationships.
- Providing practical, business-oriented legal counsel to leadership and cross-functional teams on strategic and operational initiatives.
- Identifying, assessing, and mitigating legal and commercial risks across a broad range of matters.
- Monitoring and advising on developments related to food and consumer regulatory requirements, E-commerce compliance, consumer protection laws, and omnichannel operations.
- Collaborating with retail and E-commerce stakeholders to enhance coordination across business, compliance, and innovation teams.
- Managing and overseeing outside counsel in connection with commercial and operational matters.
- Maintaining and updating standard legal documentation to align with evolving best practices.
Required Qualifications and Competencies:
- Significant experience drafting and negotiating commercial agreements commonly associated with supply chain, procurement, logistics, distribution, and vendor relationships.
- Excellent written and verbal communication skills.
- Demonstrated ability to analyze complex legal issues and communicate practical guidance to non-legal stakeholders.
- Strong understanding of legal risks associated with retail operations, contracting, and regulated consumer-facing industries.
- Ability to balance competing priorities and support multiple internal clients effectively.
- Understanding of key operational drivers within supply chain functions.
- Experience leading cross-functional initiatives and contributing to long-term legal strategy.
- Ability to work independently, exercise sound judgment, and manage sophisticated projects and transactions in a fast-paced environment with tight deadlines.
Required Technical Skills
- Proficiency with Office 365 or comparable business software suites
- Strong presentation development skills using PowerPoint or similar software
- Advanced competency in Microsoft Excel or equivalent spreadsheet software
Qualifications
- J.D. degree and active bar membership in at least one U.S. jurisdiction
- Minimum of 7 years of relevant legal experience, including a combination of law firm and in-house experience
- At least 5 years of experience supporting commercial contracting, procurement, supply chain, or related industries, including experience within consumer products or manufacturing environments
- Experience drafting and negotiating a variety of commercial agreements, including vendor/supplier agreements, purchase orders, manufacturing and distribution agreements, NDAs, MSAs, service agreements, and logistics or trade-compliance matters
- Ability to advise on operational risk assessment and collaborate effectively with procurement and operations teams
- Familiarity with regulatory matters related to consumer products, including labeling, ingredient disclosures, allergen considerations, and related compliance requirements preferred
